GENERAL TERMS AND CONDITIONS OF SERVICES

These Terms and Conditions (“Terms”) govern your use of the Front Office Rocks (“FORx”) membership and services and form a binding agreement between you (“Member,” “Subscriber,” or “you”) and UptimeHealth, Inc. (“Company,” “we,” or “us”), the owner and operator of FORx. By purchasing or using a FORx membership, you agree to these Terms.
1. Membership Overview
1.1 Services Provided. FORx provides digital training, educational resources, and professional development content focused on dental front office staff. Members receive access to video libraries, downloadable materials, templates, and optional live or on-demand content based on their membership tier.
1.2 Access. Membership grants you a limited, non-exclusive, non-transferable right to access and use the FORx platform and its content during the active subscription period. You may not share login credentials or redistribute content.
2. Membership Options and Billing
2.1 Membership Types. FORx offers:
- Monthly Memberships: Auto-renew each month from the original purchase date.
- Annual Memberships: Auto-renew every 12 months from the purchase date.
2.2 Billing Terms.
- All memberships are billed in advance for the full term (monthly or annual).
- Membership will automatically renew unless canceled prior to the next billing cycle.
- You authorize FORx/UptimeHealth, Inc. to charge the payment method on file for recurring charges.
2.3 Price Changes. We reserve the right to change pricing. Any price changes will be communicated in advance via the email address associated with your account and will not take effect until your next billing cycle.
3. Cancellation and Refund Policy
3.1 Monthly Memberships.
- May be canceled at any time through your account portal.
- Cancellations must be submitted before your next billing date to avoid further charges.
- No refunds will be issued for partial months or unused time.
3.2 Annual Memberships.
- May be canceled at any time; however, refunds are only available if cancellation occurs within seven (7) days of the initial purchase or renewal.
- No pro-rated refunds are issued for cancellations after this 7-day period.
3.3 How to Cancel.
To cancel, log in to your account and follow the instructions under Billing or contact our support team at [[email protected]].
4. Use Restrictions
You agree not to:
- Share or resell access to the content.
- Reproduce, distribute, or publicly display any course materials without permission.
- Use the platform in violation of applicable laws.
FORx content is intended for training purposes only and is not a substitute for professional, legal, or HR advice.
5. Ownership and Intellectual Property
All content, trademarks, course materials, and intellectual property provided on FORx are owned by UptimeHealth, Inc. or its licensors. You may not copy, modify, or create derivative works without our express written consent.
6. Disclaimers and Limitations
6.1 Disclaimer.
The FORx platform and content are provided “as is” without warranties of any kind, either express or implied. We do not guarantee specific results or outcomes from using the training material.
6.2 Limitation of Liability.
In no event shall UptimeHealth, Inc. or its affiliates be liable for any indirect, incidental, or consequential damages. Our total liability to you shall not exceed the amount you paid in the 12 months prior to the event giving rise to the claim.
7. Termination
We reserve the right to terminate or suspend your membership without refund if you:
- Violate these Terms;
- Engage in fraudulent activity;
- Infringe on intellectual property or disrupt other users’ access.
You will still be responsible for any outstanding payments due at the time of termination.
8. Privacy
Your use of the FORx platform is also governed by our Privacy Policy, which explains how we collect, store, and use your data.
9. Legal Terms
9.1 Governing Law.
These Terms are governed by the laws of the State of Massachusetts, without regard to conflict of law principles.
9.2 Disputes.
Any disputes arising from these Terms shall be resolved in the state or federal courts located in Massachusetts.
9.3 Entire Agreement.
These Terms, along with any order forms or supplemental terms, constitute the entire agreement between you and UptimeHealth, Inc. regarding your FORx membership.
9.4 Amendments.
We may update these Terms from time to time. Continued use of the platform after changes are posted means you agree to the updated Terms.
